• SMB AI Solutions: Operational AI implementation, readiness assessments, automation sprints, secure AI infrastructure, and productivity implementations for small and mid-sized businesses
• Clinical Intelligence Consulting: SAS ecosystem optimization, SAS Viya migration, Spotfire data visualization, Dataset-JSON readiness, CDISC compliance, and clinical data operations for pharmaceutical, biotech, and CRO organizations

The Website serves as an informational and lead-generation platform. Specific service engagements are governed by separate Statements of Work (SOW), Master Services Agreements (MSA), or other engagement contracts executed between INNOVIZZ and the client.

The INNOVIZZ name, logo, and all related product and service names, design marks, and slogans are trademarks of INNOVIZZ LLC. You may not use these marks without our prior written permission.

Proprietary tool names including but not limited to CertusAI™, Axiom AI™, and any associated technical frameworks are trademarks of INNOVIZZ LLC.

4. Consultation Bookings

Our Website facilitates consultation scheduling through Calendly, a third-party scheduling platform. By booking a consultation, you acknowledge that:

• Consultation scheduling is subject to availability
• Information submitted during booking is processed in accordance with our Privacy Policy and Calendly's privacy policy
• Initial consultations are diagnostic in nature and do not constitute a binding service agreement
• INNOVIZZ reserves the right to decline or reschedule consultations at our discretion

5. Service Engagement Terms

All paid service engagements are governed by separate written agreements between INNOVIZZ and the client. These Terms do not create an obligation for INNOVIZZ to perform any services. Key aspects of service engagements include:

• Scope, deliverables, timelines, and fees are defined in individual Statements of Work
• Payment terms, cancellation policies, and intellectual property assignments are specified in engagement agreements
• Confidentiality obligations are detailed in Non-Disclosure Agreements executed prior to or at the commencement of engagement

6. Clinical Services Disclaimer

• Not Regulatory Advice: INNOVIZZ does not provide regulatory, legal, or medical advice. Our clinical consulting services are technical in nature and relate to data management, programming, visualization, and systems optimization. All regulatory decisions remain the sole responsibility of the client and their qualified regulatory affairs personnel.
• Not a CRO: INNOVIZZ is a consulting services provider, not a contract research organization. We do not sponsor, conduct, or manage clinical trials. We provide technical expertise that supports our clients' clinical operations.
• Compliance Responsibility: While INNOVIZZ follows industry best practices and standards (including CDISC SDTM/ADaM, FDA Technical Conformance Guide, ICH E6 GCP), the ultimate responsibility for regulatory compliance, submission accuracy, and data integrity rests with the client organization.
• No Patient Data on This Website: INNOVIZZ does not collect, store, or process protected health information (PHI) or patient data through this Website. Clinical trial data encountered during engagements is handled under separate data processing agreements with appropriate safeguards.
• Validation & Qualification: Any deliverables provided during clinical engagements require client-side validation and qualification in accordance with the client's SOPs and regulatory requirements before use in production or submission contexts.

7. Disclaimers

THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

INNOVIZZ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO INNOVIZZ IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Website shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, with proceedings conducted in Philadelphia, Pennsylvania.

You waive any right to participate in a class action lawsuit or class-wide arbitration against INNOVIZZ.
